Basic Policy Against Antisocial Forces

1)
Piezo Parts Co., Ltd. (hereafter “Our company”) has right to terminate the contract immediately without any notice, in case to be found out our business partner (including Director, Auditors, Executive Officers, Operating Officers and any other positions of managing or operating substantially) has a relationship between antisocial forces (such as “Boryokudan” crime syndicates; the member or the semi-member, within 5years whom belonged, affiliate companies, racketeer groups, groups engaging in criminal activities under the pretext of conducting social companies or political activities and crime groups specialized in intellectual crimes or others equivalent thereto; the same shall apply hereinafter) or falls under the one of following items.

Ⅰ. Antisocial forces are deemed to be dominate the management.

Ⅱ. Antisocial forces are deemed to be substantially involved in management.

Ⅲ. In case to be deemed for being used antisocial forces unjustly for purpose of gaining unlawful profit personally,for own company’s benefit or for the third party or for purpose of damaging the a third party, etc.

Ⅳ. In case to be deemed for funding or providing any convenience or any similar act to cooperate or support the maintenance or operation of antisocial forces.

Ⅴ. In case of any other executives or the person who is substantially involved in management are deemed to be engaged in a socially condemnable relationship with the antisocial forces.

2)
Our company has right to terminate the contract immediately without any notice, in case of our business partner itself or using a third party to fall under one of following items.

Ⅰ. Violent demand

Ⅱ. Unreasonable demands beyond legal responsibility

Ⅲ. Using threat or violence against the transaction

Ⅳ. Disseminate the rumor or using fraudulent means, committing assault or intimidation to damage our credibility or to interfere our business

Ⅴ. Any other similar acts regarding items mentioned above.

3)
 Ⅰ. Our company, our subcontractors or our outsources (including all when there are several involved; the same shall apply hereafter) will represent and warrant that we have not fallen all items mentioned in 1) and shall not fall under all items mentioned in both 1) and 2).

Ⅱ. Our company must take immediate action either terminate the contract or take measures to terminate the contract if our subcontractors or our outsources turn out to have been fallen under one of mentioned above items after finalizing the contract.

Ⅲ. Our company has right to terminate the contract, in case of our business partners violates the provisions as falling under one of mentioned above items.

4)
 Ⅰ. Our company will refuse or have our subcontractors or our outsources to refuse when subjected to undue intervention such unreasonable demands or obstruction of business by antisocial forces. And we will immediately report the undue intervention facts to our business partners. Also we will take necessary action to cooperate for reporting to our business partners investigating agency.

Ⅱ. Our company has right to terminate the contract, in case of our business partners violates the provisions as falling under one of mentioned above items.

5)
Our company entitled to terminate the contract under the provisions of each items mentioned above, and we have no obligation to indemnify and compensate regardless even though our business partners has been damaged due to this termination of the contract. However, in case our company has been damaged due to this termination of the contract, our business partners will be obligated to indemnify and compensate regardless.

Policy Against Conflict Minerals

Piezo Parts Co., Ltd. (hereinafter, “our company”) has been enacted the policy against conflict minerals mentioned as below
and complying the policy against conflict minerals such as gold, tin, tantalum, tungsten, or a derivative thereof
which mined in an environment under armed conflict and human rights abuses,
especially in the eastern part of the Democratic Republic of Congo and the surrounding countries (DRC countries).
Ensuring that our company has been forbidding to procure raw materials which will be used as sources of funds or benefits for armed groups
conducting inhumane acts, or conflicts and provision of funds for terrorists,
our company has been implemented the following management system.

Management system
●Our company will not use any minerals or metals that will be the result of the funds for illegal armed groups in conflict areas. 
●Our company will not engage in any transactions to promote and support inhumane acts (EX: slaughter, looting, sexual violence,
slave, forced labor, child labor, torture or war crimes, etc) in conflict areas. 
●Our company will not purchase or procure conflict minerals at all. 
●Our company ask your suppliers seek recognition and cooperation on our policy against conflict mineral.
●Our company evaluates the raw materials including gold and tantalum and our suppliers.
And if we find our suppliers who have been engaging in the dispute or being connected to illegal armed groups,
we suspend the transaction immediately.
●Implement the training on conflict minerals management policy for all persons in charge of conflict mineral management
and appropriately manage them.
●All delivered materials will be checked in kind, also verifying against transaction information from suppliers before the acceptance.
●When our company is requested to disclose information on conflict minerals from our business clients,
we will disclose it immediately under laws and regulations.
●Determine the storage period and manage the transaction documents appropriately. 
According to the provisions of Article 1502 of the Financial Regulatory Reform Act (Dodd-Frank Act) established on 21 July 2010,
the US Securities and Exchange Commission (SEC) has adopted the final rule to mandate reporting and disclosure on conflict minerals.
This regulation requires manufacturers registered in the SEC to disclose whether manufactured products or outsourced productions
contain conflict minerals or not, by the viewpoint of securing functionality and production.

In case, it turns out that our smelters’ procurement such as gold, tin, tantalum, tungsten, etc.
which supporting or being complicit in the conflict of the DRC countries,
we will immediately take appropriate measures to eliminate those minerals.

To all our business partners,
we highly appreciate your understandings and agreements on our policy against conflict minerals
and we ask continuous cooperation that the materials and parts used for our products
will not be involved in the conflict of the DRC countries.

Environmental Conservation Activities

Piezo Parts Co., Ltd. (hereinafter, “our company”) strives to preserve,
regenerate and improve the natural environment under our policy
“For the health of mankind and the earth”. 

We seriously take the problems such as global warming, destruction of the ozone layer, industrial waste,
pollution by hazardous chemical substances which surrounding the global environment.
And we comply with environmental laws and regulations,
and we will also proactively promote energy conservation and CO2 reduction activities
through our production activities at our factory and activities at our office.

In addition, we will cultivate a high environmental consciousness by actively participating
in the maintenance and recovery activities of natural landscapes and ecosystems. 
In fact, we have established the basic environmental policy as described below
and are working on environmental conservation activities.
